Client Responsibilities

As a client, you agree to:

  • Comply with Laws: Adhere to all applicable laws and regulations in relation to your use of our services.

Payment Terms

  • Fees: The fees for our services will be outlined in the contract or agreement. All fees are non-refundable unless otherwise specified in our refund policy.
  • Invoicing: Standard Digitals will invoice clients as per the terms of the agreement. Payment is due within the specified time frame on the invoice.
  • Late Payments: Late payments may incur additional charges or interest as outlined in the agreement.

Confidentiality

Standard Digitals and the client agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This includes, but is not limited to, business plans, strategies, financial information, and client data.

Intellectual Property

  • Ownership: All intellectual property rights related to the services provided by Standard Digitals, including but not limited to reports, analyses, and strategies, remain the property of Standard Digitals unless otherwise agreed upon in writing.
  • Client Materials: Clients retain ownership of all materials they provide to Standard Digitals for the purpose of service delivery. Clients grant Standard Digitals a limited license to use these materials as necessary to perform the services.

Limitation of Liability

  • No Warranty: Standard Digitals provides services “as is” without any warranties, express or implied. We do not guarantee specific results from the use of our services.
  • Limitation: To the maximum extent permitted by law, Standard Digitals shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, even if advised of the possibility of such damages.
  • Maximum Liability: Standard Digitals’ total liability for any claims arising out of or related to our services shall not exceed the amount paid by the client for the specific services giving rise to the claim.

Termination

  • Termination by Client: Clients may terminate the agreement for any reason with written notice as specified in the contract. Termination may be subject to a notice period and any applicable fees.
  • Termination by Standard Digitals: Standard Digitals reserves the right to terminate the agreement immediately if the client breaches any terms of the agreement, fails to make payments, or engages in unlawful or unethical behavior.
  • Effect of Termination: Upon termination, all outstanding fees for services rendered up to the date of termination shall be payable immediately. Both parties shall return any confidential information or materials provided during the course of the engagement.
